Applicability
Only our terms and conditions mentioned here, as well as the conditions mentioned under "Shipping Costs" and "Withdrawal" are applicable.
Terms and conditions of the contractual partner shall only be binding on us if we have agreed to them in writing.
"We" refers to the owner and employees of the company Schell - Der rote Faden.
We deliver within the EU and Switzerland.
In case you need to export the products to a non EU-country, we charge for the V.A.T. reversal of invoices under 100,- eur a handling fee of 10,- eur.
Contract
the presentation of the goods offered on the Internet is not a legally binding offer, but represents
only a solicitation of an offer (invitatio ad referendum). So please wait for the pre-form invoice with which we confirm quantity, price and delivery time of the goods ordered.
(The automatic order confirmation issued by our online-shop, which is only an input message, is not enough.)
In the cases of lack of availability or price increase, a full refund will be offered to customers paying with Paypal.

Delivery times, Delivery companies
The delivery time is 1-3 working days within Germany, 2-4 working days to neighbouring countries and 5-8 days to other countries. Working days are monday to friday. We deliver most orders with DHL, except small packages, which are delivered by the German Post Office (for details see "Shipping & Returns"). Abroad we deliver by their foreign business partners.
If delivery times are not adhered to the contractor is entitled to rescind the contract after a reasonable period. The deadline to withdraw has to be sent to us in writing. We will not be held liable for delays due to unforeseen circumstances which are beyond our control.
Claims for damages are excluded unless gross negligence or intent on our part. This also applies to consequential damages.
Complaints and warranty period
In the case of delivery of defective goods, the buyer can inform us by e-mail or telephone. We pick the goods up at our expense, unless we have agreed with the customer for a price reduction due to the error.
The buyer's right to complain due to a defect in the goods supplied is barred, unless the defect was not withheld, two years after delivery. However: once the buyer sees the defect, he/she should communicate it to the seller to enable fast processing.
Please note that colors on each computer screen may differ from the original. Therefore please order the free colour charts for threads, zippers and ribbons. For a small price you can also order sample cards of our different fabrics or individual samples, which you can compare with the products' colours on our web shop.We advise you to take this opportunity before you order, as this will ensure that you will not be charged with a returning fee for products sold by meter (for example fabrics or ribbons).
If damage is found on delivery a change log is to be incorporated, which the driver has to sign.
Check goods before processing! Please note: Wash materials before you use them to avoid shrinkage to a ready garment and to check for colour bleeding.
When working with different fabrics and ribbons there is a risk of color bleeding from the darker into the bright colors. Therefore generally use in dark colors a different material composition than in the bright, eg Cotton / Viscose for some, polyester for the other and make combined washing tests of all materials.
We assume no liability for consequential damages.
Although we apply the utmost care we can not always avoid errors in images or description. Claims for damages can not be derived.

Transfer of risk
The risk passes to the buyer as soon as the consignment was handed over to the transporter. This applies only to merchants/commercial customers.
Retention of title ( applies only to commercial customers )
The goods remain our property until full payment .
The purchaser is entitled to process and sell the reserved goods in the ordinary course of business . The buyer shall assign the receivables from the sale to us , the amount agreed with the bill. In this case, the expectant right of the purchaser continues to the goods at the transformed object . If the purchased goods are processed with other objects not belonging to us, we acquire co-ownership of the new item in proportion to the objective value of our goods to the other processed items at the time of processing.
As long as the property has not been transferred, the purchaser will have to be notified immediately in writing if the delivered goods are seized or other interventions by third parties. We undertake to release the securities due to us at the buyer's request, insofar as their value exceeds the secured claims by more than 20%.
Custom- made products
With custom-made products according to customer specifications, the customer must accept a slight difference in quality and design, such as under-or over deliveries of up to 10%, as long as they are for technical reasons. Custom-made products are not subject to the Distance Selling Regulations.

Place of performance and court of jurisdiction for contracts with merchants is Aachen / Germany, besides the statutory provisions shall apply.
